Terms of Service.
These Terms of Service govern the purchase and use of Next Level DNA™ Live Coaching with Billy-Joe Todd. Please read them before enrolling. By purchasing the membership or using the coaching service, you agree to these Terms.
Provider and agreement
These Terms form an agreement between you and Billy-Joe Todd, operating under the Next Level DNA™ brand (“Billy-Joe,” “Next Level DNA,” “we,” “us,” or “our”). The service covered by these Terms is the Next Level DNA™ Live Coaching monthly membership.
By checking the acceptance box at checkout, completing payment, or using the service, you confirm that you have reviewed these Terms, had the opportunity to correct purchase information before paying, and agree to be bound by them.
If a mandatory consumer-protection law gives you rights that cannot legally be waived, those rights remain in effect. Nothing in these Terms removes rights that the law does not permit us to remove.
Eligibility
You must be at least 18 years old and legally able to enter into a contract to purchase the membership.
The coaching membership is not designed for emergency support, acute psychiatric care, medical treatment, addiction treatment, crisis intervention, or circumstances requiring regulated professional services. You agree not to enroll when those services are the support you actually need.
What the membership includes
While your membership is active and payments are current, the membership includes:
- One scheduled live coaching session each month.
- One private weekly alignment check-in.
- Weekday text coaching access Monday through Friday from 9:00 a.m. to 5:00 p.m. Eastern Time.
- Application of Billy-Joe’s original frameworks, including The Alignment Filter™ and TASK 1™, where appropriate.
- Direct feedback, pattern recognition, accountability, and developmental coaching tied to your stated goals.
The membership provides coaching access and support. It does not guarantee a specific number of minutes of text conversation, a specific volume of written responses, instant replies, or continuous real-time availability.
Access and response boundaries
“No message-count limit” does not mean 24/7 access.
You may send coaching-related messages during the membership without a preset message-count cap. Responses are provided during the stated weekday access window as workload and circumstances reasonably permit.
The text channel is not:
- an emergency line;
- a continuously staffed live chat;
- a guarantee of immediate response;
- a substitute for a scheduled coaching session; or
- a channel for medical, psychiatric, legal, financial, or crisis intervention.
Access may be temporarily unavailable because of illness, emergencies, travel, technology failures, statutory holidays, or other reasonable interruptions. Where practical, we will communicate material interruptions and provide an appropriate adjustment.
Scheduling and missed sessions
Live sessions are scheduled by mutual availability. You are responsible for attending on time and using a reliable device, internet connection, and private location suitable for coaching.
Rescheduling by the member
Please provide at least 24 hours’ notice when rescheduling is needed. We will make reasonable efforts to reschedule within the same billing period, but availability is not guaranteed.
Late arrival or missed session
A late arrival may shorten the session so the next scheduled commitment is not disrupted. A missed session without reasonable notice may be treated as used. We may make exceptions when illness, emergency, family circumstances, or another reasonable situation occurs.
Rescheduling by Billy-Joe
If Billy-Joe must reschedule, the session will be moved to a mutually workable time. If a replacement session cannot reasonably be provided, an appropriate credit or refund will be offered.
Fees, renewal, taxes and payment
The current membership price is $99 USD per month, plus any taxes that are legally required and shown at checkout. Your payment processor or financial institution may apply currency-conversion or other charges that we do not control.
By enrolling, you authorize Stripe and its payment partners to charge the payment method you provide at checkout and then automatically charge that payment method each month until the membership is cancelled.
Billing normally renews on the same calendar day each month as the original purchase, subject to Stripe’s handling of shorter months, failed payments, and banking schedules.
If a payment fails, Stripe may retry the payment. Access may be paused while an account is unpaid. We will not impose a separate late fee unless one is clearly disclosed in advance and permitted by law.
Cancellation
You may cancel future recurring billing at any time. Cancellation stops future renewals. Unless a refund is issued for the current billing period, access normally continues until the end of the period already paid for.
A request for a refund and a request to cancel future billing are related but distinct. To remove ambiguity, a refund request will also be treated as a request to cancel future billing unless you clearly tell us that you want the membership to remain active.
You may cancel through any customer billing portal made available by Stripe or by contacting us using the information at the end of these Terms.
Refund promise
You do not have to defend your decision.
When you ask for a refund, we will process it without requiring a justification, a retention call, repeated requests, or an argument about why you should stay.
We may ask only for the information reasonably needed to identify the customer and transaction. A refund request applies to the payment you identify or, if you do not identify one, the most recent monthly membership payment.
Refunds are returned through the original payment method when possible. Bank and payment-processor timelines are outside our control, so the credit may take additional time to appear after we submit it.
Unless required by law or expressly agreed by us, this promise does not automatically refund earlier membership periods that were previously delivered and not identified in the request.
Coaching scope and emergencies
Billy-Joe is a certified coach and Transformation Translator. He is not acting as a psychiatrist, psychologist, psychotherapist, physician, nurse, lawyer, accountant, financial adviser, emergency responder, or other regulated professional through this membership.
Coaching does not diagnose, treat, prevent, or cure mental or physical health conditions.
You remain responsible for obtaining professional medical, psychological, psychiatric, legal, financial, safety, or crisis support when appropriate. Do not delay or discontinue professional care because of coaching discussions or materials.
Emergency boundary: Do not use the coaching text channel during an emergency or when you may harm yourself or another person. Contact local emergency services or an appropriate crisis resource immediately.
No guaranteed results
Coaching can provide perspective, structure, questions, accountability, support, and challenge. Your circumstances, decisions, consistency, timing, resources, health, relationships, environment, and follow-through affect outcomes.
We do not guarantee income, business growth, employment, weight loss, improved health, relationship outcomes, emotional outcomes, audience growth, sales, or any other specific result.
Testimonials and examples describe individual experiences. They are not promises that another person will receive the same outcome.
Member responsibilities
You agree to:
- provide accurate contact and payment information;
- participate honestly and take responsibility for your own decisions;
- complete agreed actions when reasonably able, or communicate honestly when you do not;
- use coaching alongside—not instead of—appropriate professional services;
- respect the stated access hours and communication boundaries;
- protect your own login, device, messages, and personal information;
- avoid sharing another person’s private or sensitive information unless you are authorized to do so; and
- use the service lawfully and respectfully.
You retain final responsibility for every decision and action. Coaching support does not transfer that responsibility to Billy-Joe, Next Level DNA, Sage, Stripe, or any other service provider.
Conduct and termination
We may warn, pause, restrict, or terminate access when reasonably necessary because of threats, harassment, abuse, discrimination, stalking, unlawful activity, repeated boundary violations, non-payment, misuse of the service, or conduct that creates a safety concern.
When we terminate without member misconduct, we will provide a reasonable refund or credit for unused paid service. When access is terminated because of serious misconduct or unlawful activity, refunds may be limited to the extent permitted by law.
Ending the membership does not remove provisions that logically continue, including payment obligations already incurred, confidentiality limits, intellectual-property protections, disclaimers, and governing-law provisions.
Confidentiality and privacy
We treat coaching communications as private and use reasonable safeguards. Coaching is not protected by the same legal privilege that may apply in certain regulated professional relationships.
Information may be used or disclosed when reasonably necessary to:
- deliver and administer the membership;
- process payments and refunds;
- maintain records, improve systems, and protect account security;
- comply with law, court orders, or valid legal process;
- respond to a credible and urgent safety concern;
- investigate fraud, abuse, threats, or unlawful activity; or
- work with service providers that support delivery, subject to their terms and safeguards.
Personal information will be collected, used, retained, and disclosed only for identified and reasonable purposes. A separate Privacy Policy should be read together with these Terms.
Electronic communications
You consent to receiving service communications needed to deliver the membership, including payment receipts, scheduling messages, access instructions, account notices, check-ins, and replies to messages you initiate.
Service communications are different from optional marketing. Where required, marketing messages will be sent only with valid consent and will include identification information and a way to unsubscribe.
You are responsible for keeping your email address and phone number current. Standard carrier, data, or messaging charges may apply.
AI transparency
Billy-Joe’s teachings, frameworks, lived-experience insights, coaching direction, and final human decisions are his own. Artificial intelligence may assist behind the scenes with organization, drafting, documentation, workflow creation, research preparation, technical systems, and content production.
Billy-Joe has worked with generative AI since its early public stages and has shaped an internal AI-assisted working system through extensive prompts, examples, corrections, historical context, brand rules, and feedback. He refers to this internal AI system as Sage and gives Sage a defined operational role in the company’s backend.
Sage is software. Sage is not a human employee, owner, director, officer, licensed professional, therapist, doctor, or independent decision-maker. Billy-Joe remains responsible for the coaching relationship and the service delivered.
Do not submit highly sensitive medical, financial, legal, identity, password, or security information through coaching messages unless it is reasonably necessary and you understand the privacy implications.
Intellectual property
The Alignment Filter™, TASK 1™, Next Level DNA™, Pocket Mentor™, written materials, exercises, designs, videos, audio, templates, systems, session materials, and other original content remain the intellectual property of Billy-Joe Todd or the applicable rights holder.
Your active membership gives you a limited, personal, non-exclusive, non-transferable licence to use materials for your own learning and development. You may not reproduce, sell, license, teach, publish, upload, distribute, scrape, modify for commercial use, or create a competing product from the materials without written permission.
You retain ownership of original material you create and share. You give us only the limited permission reasonably needed to review it and provide coaching.
Recordings and testimonials
Live coaching sessions will not be recorded by us unless you are told in advance and give clear consent. You may not secretly record a session or distribute coaching communications without written permission and any consent required by law.
We will not publish your name, image, story, testimonial, private message, or identifiable coaching result for marketing without separate permission. Declining a testimonial request will not affect your access to the service.
Third-party services
The membership may rely on third-party services such as Stripe, email providers, website hosting, scheduling platforms, messaging tools, video-conferencing platforms, cloud storage, and AI systems.
Those services operate under their own terms and privacy practices. We are not responsible for an outage, security incident, policy decision, currency conversion, bank delay, or other event caused solely by a third party, but we will take reasonable steps to help resolve service-delivery issues within our control.
Disclaimers and liability
The service is provided with reasonable care but is otherwise offered on an “as available” basis. To the extent permitted by law, we do not promise uninterrupted availability, error-free technology, or suitability for every person, goal, or circumstance.
To the extent permitted by law, Billy-Joe Todd and Next Level DNA will not be liable for indirect, incidental, special, punitive, or consequential loss arising from your use of the service, including lost profits, lost opportunities, lost data, or decisions made after coaching.
Where liability cannot legally be excluded, total liability connected to the membership will be limited to the amount you paid for the membership during the three months immediately before the event giving rise to the claim, except where a greater remedy is required by applicable law.
Nothing in these Terms excludes liability that cannot legally be excluded, including liability arising from fraud, wilful misconduct, or any other category protected by mandatory law.
Changes to service or terms
We may make reasonable changes to the service, these Terms, access methods, scheduling process, or supporting technology. Material changes will be communicated before they take effect when reasonably possible.
If the monthly price increases, current members will receive advance notice before the new price is charged and may cancel before it takes effect. We will not retroactively change the price of a completed billing period.
The “Effective” date at the top identifies the current published version. Continued use after a notified change takes effect means you accept the revised Terms, subject to rights provided by law.
Governing law and general terms
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without limiting mandatory consumer rights that apply based on your location.
Before beginning formal proceedings, both sides agree to make a reasonable good-faith effort to resolve the issue directly. This does not prevent either side from seeking urgent relief or using a government, consumer-protection, privacy, payment-dispute, or court process available by law.
If any provision is found unenforceable, the remaining provisions continue. A delay in enforcing a provision is not a waiver. These Terms, the checkout disclosures, the applicable Privacy Policy, and any written membership-specific agreement form the complete agreement about this service.
You may retain or print these Terms using the button at the top of the page. Stripe will also provide transaction records and payment confirmations associated with checkout.
